Please read these Terms and Conditions ("Terms," "Terms and Conditions") carefully before using the Valmere Capital website (https://www.valmerecapital.com) and our investment services (the "Service") operated by Valmere Capital ("us," "we," or "our").
Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.
By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.
1. Services Offered
Valmere Capital provides AI-driven investment management and advisory services. Our services may include, but are not limited to:
AI-Managed Portfolios: Discretionary investment management where our proprietary AI algorithms make investment decisions on your behalf, within agreed-upon risk parameters.
Strategic Advisory: Non-discretionary investment advice based on our AI-driven insights, where you retain ultimate decision-making authority.
Access to Investment Products: Facilitation of investments in various financial instruments (e.g., stocks, bonds, ETFs, commodities, alternative investments) as part of a managed portfolio or based on advisory services.
Reporting and Analytics: Provision of performance reports, market insights, and other analytical tools.
Specific details of the services you receive will be outlined in a separate client agreement, investment mandate, or service agreement ("Client Agreement") executed between you and Valmere Capital. In case of any conflict between these Terms and a Client Agreement, the Client Agreement shall prevail.
2. Eligibility and Account Creation
Age Restriction: You must be at least 18 years of age and of legal capacity to enter into binding contracts under Dutch law to use our services.
Legal Capacity: You confirm that you have the legal capacity to enter into this agreement and use our services in accordance with these Terms.
Account Information: When you create an account with us, you must provide us with information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
Security: You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
3. Investment Risks
No Guarantees: Investing in financial markets involves risk. Valmere Capital does not guarantee any specific investment performance, returns, or protection against loss. The value of investments can fluctuate, and you may lose money, including your entire investment.
AI Limitations: While our AI aims to optimize performance and manage risk, it does not eliminate all risks. Market events, unforeseen circumstances, or data limitations can impact AI-driven decisions.
Past Performance: Past performance is not indicative of future results. Any historical data or hypothetical performance figures are for illustrative purposes only.
Suitability: We will conduct a suitability assessment to ensure our services and investment products are appropriate for your financial situation, investment objectives, and risk tolerance. You are responsible for providing accurate and complete information for this assessment.
4. Client Obligations
You agree to:
Provide Accurate Information: Provide accurate, complete, and up-to-date information for all account opening, KYC/AML, and suitability assessment purposes.
Cooperate: Cooperate fully with Valmere Capital in relation to the provision of services, including responding to requests for information promptly.
Understand Risks: Fully understand and accept the risks associated with investing, as outlined in these Terms, the Client Agreement, and relevant risk disclosures.
Monitor Communications: Regularly check your email and our platform for important communications, statements, and updates.
Comply with Laws: Comply with all applicable laws and regulations in your use of our services.
5. Intellectual Property
Ownership: The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Valmere Capital and its licensors. The Service is protected by copyright, trademark, and other laws of both the Netherlands and foreign countries.
Trademarks: Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Valmere Capital.
AI Models: Our proprietary AI models, algorithms, and methodologies are confidential and constitute valuable intellectual property of Valmere Capital. You acquire no rights to these assets.
6. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service and notify us in accordance with your Client Agreement.
7. Limitation of Liability
In no event shall Valmere Capital, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
your access to or use of or inability to access or use the Service;
any conduct or content of any third party on the Service;
any content obtained from the Service; and
unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
Our total aggregate liability to you for any claim arising out of or in connection with these Terms or the Services, whether in contract, tort (including negligence), or otherwise, shall be limited to the fees paid by you to Valmere Capital in the twelve (12) months preceding the event giving rise to the claim.
8. Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
Valmere Capital does not warrant that:
the Service will function uninterrupted, secure, or available at any particular time or location;
any errors or defects will be corrected;
the Service is free of viruses or other harmful components; or
the results of using the Service will meet your requirements.
9. Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.
Any dispute arising out of or in connection with these Terms or the Services provided by Valmere Capital shall be submitted to the exclusive jurisdiction of the competent courts in Amsterdam, the Netherlands.
10. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
11. Entire Agreement
These Terms, together with your Client Agreement (if any) and our Privacy Policy, constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
12. Changes to These Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
